Commission structure, liability, IP clauses, and<br \/>\ntermination terms require legal validation.<\/p>\n<\/blockquote>\n<hr \/>\n<h1 id=\"uk-english\">\ud83c\uddec\ud83c\udde7 English<\/h1>\n<p>This Vendor Agreement (&#8220;Agreement&#8221;) is between Movo, operated by<br \/>\n[LEGAL ENTITY \u2014 TBD] (&#8220;Movo&#8221;, &#8220;we&#8221;, &#8220;us&#8221;), and the registered Malaysian<br \/>\nbusiness identified in the merchant signup form (&#8220;Vendor&#8221;, &#8220;you&#8221;).<\/p>\n<p>By submitting the merchant application form and clicking &#8220;I agree&#8221;,<br \/>\nyou accept this Agreement.<\/p>\n<h2 id=\"1-eligibility\">1. Eligibility<\/h2>\n<p>You represent and warrant:<\/p>\n<ul>\n<li>You are a Malaysian business with a valid SSM registration.<\/li>\n<li>You have authority to enter this Agreement.<\/li>\n<li>All information you provide is accurate, current, and complete.<\/li>\n<li>You hold all necessary licences for the products you list (NPRA,<br \/>\nMOH, KKM, DVS, Halal, etc. as applicable).<\/li>\n<\/ul>\n<h2 id=\"2-commission\">2. Commission<\/h2>\n<ul>\n<li>Movo charges a <strong>20% commission<\/strong> on every successful<br \/>\nsale (excluding shipping).<\/li>\n<li>You receive <strong>80%<\/strong> of the product price.<\/li>\n<li>Commission is calculated on the gross sale before any cashback or<br \/>\ndiscount.<\/li>\n<li>For Phase 2 onwards, internal Movo commission allocations (12%<br \/>\nAffiliate \/ 2% Customer cashback \/ 6% Platform net) do not affect your<br \/>\n80% share.<\/li>\n<li>Movo reserves the right to negotiate alternative commission rates<br \/>\nwith select Vendors via written addendum.<\/li>\n<\/ul>\n<h2 id=\"3-payouts\">3. Payouts<\/h2>\n<ul>\n<li>Vendor balances accrue from completed orders.<\/li>\n<li>Vendor may request withdrawal once balance reaches <strong>RM<br \/>\n100<\/strong>.<\/li>\n<li>Movo processes withdrawals weekly (every Friday) via bank<br \/>\ntransfer.<\/li>\n<li>Movo may withhold payouts in the event of:\n<ul>\n<li>Negative balance from refund claw-back<\/li>\n<li>Ongoing dispute or chargeback<\/li>\n<li>Suspected fraud or violation of this Agreement<\/li>\n<li>Regulatory hold from authorities<\/li>\n<\/ul>\n<\/li>\n<li>Vendor is responsible for declaring income to LHDN. For annual<br \/>\ncumulative payouts \u2265 RM 5,000, Movo may issue Form CP58.<\/li>\n<\/ul>\n<h2 id=\"4-product-listings\">4. Product listings<\/h2>\n<ul>\n<li>You may only list products you have the legal right to sell.<\/li>\n<li>Products must comply with Malaysian law and any category-specific<br \/>\nlicensing requirements.<\/li>\n<li>Listings must include accurate descriptions, true product photos (no<br \/>\nwatermarks, no competitor logos), and complete pricing (no hidden<br \/>\ncosts).<\/li>\n<li>Movo may, at its sole discretion, remove listings that violate this<br \/>\nAgreement, applicable law, or Movo&#8217;s content policies.<\/li>\n<\/ul>\n<h3 id=\"prohibited-products\">Prohibited products<\/h3>\n<ul>\n<li>Counterfeit, replica, or unauthorized brand products<\/li>\n<li>Stolen goods<\/li>\n<li>Drugs, weapons, ammunition, explosives<\/li>\n<li>Adult \/ pornographic content<\/li>\n<li>Items requiring licences you do not hold<\/li>\n<li>Items targeting minors that violate child protection law<\/li>\n<li>Live animals (excluding accepted pet supplies)<\/li>\n<li>Any product on Malaysia&#8217;s prohibited imports list<\/li>\n<\/ul>\n<h2 id=\"5-order-fulfillment\">5. Order fulfillment<\/h2>\n<ul>\n<li>You must ship orders within <strong>2 business days<\/strong> of<br \/>\norder placement.<\/li>\n<li>You must use a tracked shipping method and update tracking in the<br \/>\nVendor Dashboard.<\/li>\n<li>You must accept Movo&#8217;s unified shipping rate (as configured by Movo<br \/>\nadmin) \u2014 you may not impose additional shipping fees on customers.<\/li>\n<li>Damage in transit: Vendor is responsible for goods until delivered<br \/>\nto customer.<\/li>\n<\/ul>\n<h2 id=\"6-returns-and-refunds\">6. Returns and refunds<\/h2>\n<ul>\n<li>You agree to participate in Movo&#8217;s 14-day return policy.<\/li>\n<li>You will respond to customer return requests within <strong>3<br \/>\nbusiness days<\/strong>.<\/li>\n<li>If you cannot agree with the customer, Movo admin arbitrates;<br \/>\ndecisions are binding.<\/li>\n<li>For defective products, you bear return shipping. For other reasons,<br \/>\ncustomer bears return shipping (per Refund Policy).<\/li>\n<li>Upon refund execution, your 80% share is automatically deducted<br \/>\n(with allowance for negative balance until next sales offset).<\/li>\n<\/ul>\n<h2 id=\"7-customer-service\">7. Customer service<\/h2>\n<ul>\n<li>Respond to customer messages within <strong>24 hours<\/strong> during<br \/>\nbusiness days.<\/li>\n<li>Maintain professional, courteous communication.<\/li>\n<li>Movo may include your store rating, response time, and refund rate<br \/>\nin store performance metrics, visible to customers.<\/li>\n<\/ul>\n<h2 id=\"8-intellectual-property\">8. Intellectual property<\/h2>\n<ul>\n<li>You retain ownership of your brand and product content.<\/li>\n<li>You grant Movo a worldwide, non-exclusive, royalty-free,<br \/>\nsublicensable licence to use your product names, descriptions, images,<br \/>\nand brand marks for the purpose of displaying, promoting, and marketing<br \/>\nyour listings on the Platform.<\/li>\n<li>You may not infringe third-party intellectual property. Movo will<br \/>\naction DMCA-style takedown requests promptly.<\/li>\n<\/ul>\n<h2 id=\"9-confidentiality\">9. Confidentiality<\/h2>\n<p>You agree to keep confidential any non-public information disclosed<br \/>\nby Movo (operational data, customer data, platform plans). You may not<br \/>\nshare customer data outside the scope of fulfilling orders.<\/p>\n<h2 id=\"10-data-protection\">10. Data protection<\/h2>\n<ul>\n<li>You will handle customer personal data (names, addresses, phone<br \/>\nnumbers) solely for order fulfillment.<\/li>\n<li>You will comply with Malaysia&#8217;s PDPA 2010.<\/li>\n<li>You will not use customer data for marketing without explicit<br \/>\nconsent.<\/li>\n<li>You will not transfer customer data to third parties except as<br \/>\nrequired for shipping.<\/li>\n<\/ul>\n<h2 id=\"11-compliance\">11. Compliance<\/h2>\n<p>You must comply with all applicable Malaysian laws, including:<\/p>\n<ul>\n<li>Consumer Protection Act 1999<\/li>\n<li>Sale of Goods Act 1957<\/li>\n<li>Personal Data Protection Act 2010<\/li>\n<li>Direct Sales and Anti-Pyramid Scheme Act 1993 (where relevant)<\/li>\n<li>Category-specific regulations (NPRA, MOH, KKM, DVS, JAKIM,<br \/>\netc.)<\/li>\n<li>Tax obligations (income tax, SST if applicable)<\/li>\n<\/ul>\n<h2 id=\"12-term-and-termination\">12. Term and termination<\/h2>\n<ul>\n<li><strong>Term<\/strong>: This Agreement begins upon Movo&#8217;s approval of<br \/>\nyour application and continues until terminated.<\/li>\n<li><strong>Termination by Vendor<\/strong>: You may terminate at any<br \/>\ntime with 30 days&#8217; written notice via email. You must fulfill<br \/>\noutstanding orders.<\/li>\n<li><strong>Termination by Movo<\/strong>: Movo may terminate immediately<br \/>\nfor:<\/p>\n<ul>\n<li>Violation of this Agreement<\/li>\n<li>Fraudulent activity<\/li>\n<li>Repeated customer complaints unresolved<\/li>\n<li>Failure to maintain category licences<\/li>\n<li>Bankruptcy or insolvency<\/li>\n<\/ul>\n<\/li>\n<li><strong>Effect of termination<\/strong>: Final payouts processed<br \/>\nwithin 30 days minus any outstanding refunds, chargebacks, or claims.<br \/>\nListings removed from Platform.<\/li>\n<\/ul>\n<h2 id=\"13-indemnification\">13. Indemnification<\/h2>\n<p>You indemnify Movo against any claim arising from:<\/p>\n<ul>\n<li>Your products (defects, false advertising, IP infringement)<\/li>\n<li>Your fulfillment failures<\/li>\n<li>Your violation of law<\/li>\n<li>Your violation of this Agreement<\/li>\n<\/ul>\n<h2 id=\"14-disclaimers-and-limitation-of-liability\">14. Disclaimers and<br \/>\nlimitation of liability<\/h2>\n<ul>\n<li>Movo provides the Platform &#8220;as is&#8221; and does not guarantee sales<br \/>\nvolume or specific outcomes.<\/li>\n<li>Movo is not liable for indirect, incidental, or consequential<br \/>\ndamages.<\/li>\n<li>Movo&#8217;s maximum liability to you is capped at the commission paid by<br \/>\nyou to Movo in the prior 12 months.<\/li>\n<\/ul>\n<h2 id=\"15-disputes\">15. Disputes<\/h2>\n<ul>\n<li>Parties agree to first attempt resolution through Movo&#8217;s internal<br \/>\ndispute process.<\/li>\n<li>Unresolved disputes proceed to mediation in Malaysia.<\/li>\n<li>Final disputes governed by Malaysian law, jurisdiction Kuala Lumpur<br \/>\ncourts.<\/li>\n<\/ul>\n<h2 id=\"16-changes\">16. Changes<\/h2>\n<p>Movo may update this Agreement with 30 days&#8217; written notice via<br \/>\nemail. Continued use of the Platform after the effective date<br \/>\nconstitutes acceptance.<\/p>\n<h2 id=\"17-entire-agreement\">17. Entire agreement<\/h2>\n<p>This Agreement, together with Movo&#8217;s Terms of Service, Privacy<br \/>\nPolicy, and Refund Policy, constitutes the entire agreement between the<br \/>\nparties.<\/p>\n<h2 id=\"18-contact\">18. Contact<\/h2>\n<ul>\n<li>Vendor support: <a\nhref=\"mailto:merchants@movo.com.my\">merchants@movo.com.my<\/a> (TBD)<\/li>\n<li>Legal: <a href=\"mailto:legal@movo.com.my\">legal@movo.com.my<\/a><br \/>\n(TBD)<\/li>\n<\/ul>\n<hr \/>\n<h1 id=\"cn-\u7b80\u4f53\u4e2d\u6587\">\ud83c\udde8\ud83c\uddf3 \u7b80\u4f53\u4e2d\u6587<\/h1>\n<p>\u672c <strong>\u5546\u5bb6\u5408\u7ea6<\/strong>\uff08&#8221;\u5408\u7ea6&#8221;\uff09\u7531 Movo\uff08[\u6cd5\u5f8b\u5b9e\u4f53 \u2014 \u5f85\u5b9a]<br \/>\n\u8425\u8fd0\uff09\u4e0e\u5546\u5bb6\u7533\u8bf7\u8868\u6240\u8bc6\u522b\u4e4b\u9a6c\u6765\u897f\u4e9a\u5df2\u6ce8\u518c\u5546\u5bb6\uff08&#8221;\u5546\u5bb6&#8221;\u3001&#8221;\u4f60&#8221;\uff09\u7b7e\u8ba2\u3002<\/p>\n<p>\u63d0\u4ea4\u7533\u8bf7\u8868 + \u52fe\u9009\u300c\u6211\u540c\u610f\u300d\u5373\u63a5\u53d7\u672c\u5408\u7ea6\u3002<\/p>\n<h2 id=\"1-\u8d44\u683c\">1. \u8d44\u683c<\/h2>\n<p>\u4f60\u58f0\u660e\u5e76\u4fdd\u8bc1\uff1a<\/p>\n<ul>\n<li>\u4f60\u662f\u6709\u6548 SSM \u6ce8\u518c\u4e4b\u9a6c\u6765\u897f\u4e9a\u5546\u5bb6<\/li>\n<li>\u4f60\u6709\u6743\u7b7e\u8ba2\u672c\u5408\u7ea6<\/li>\n<li>\u63d0\u4f9b\u4e4b\u8d44\u6599\u771f\u5b9e\u3001\u6700\u65b0\u3001\u5b8c\u6574<\/li>\n<li>\u4f60\u6301\u6709\u6240\u552e\u5546\u54c1\u6240\u9700\u4e4b\u5168\u90e8\u724c\u7167\uff08NPRA \/ MOH \/ KKM \/ DVS \/ Halal<br \/>\n\u7b49\uff09<\/li>\n<\/ul>\n<h2 id=\"2-\u62bd\u6210\">2. \u62bd\u6210<\/h2>\n<ul>\n<li>Movo \u6bcf\u7b14\u6210\u529f\u9500\u552e\u62bd <strong>20%<\/strong>\uff08\u4e0d\u542b\u8fd0\u8d39\uff09<\/li>\n<li>\u4f60\u6536 <strong>80%<\/strong><\/li>\n<li>\u62bd\u6210\u57fa\u4e8e\u603b\u9500\u552e\u989d\uff08\u6298\u6263 \/ cashback \u524d\uff09<\/li>\n<li>Phase 2 \u8d77 Movo \u5185\u90e8\u5206\u914d\uff0812% Affiliate \/ 2% Customer cashback \/ 6%<br \/>\n\u5e73\u53f0\u51c0\u5229\uff09\u4e0d\u5f71\u54cd\u4f60 80% \u4efd\u989d<\/li>\n<li>Movo \u4fdd\u7559\u4e0e\u4e2a\u522b\u5546\u5bb6\u4ee5\u4e66\u9762\u9644\u7ea6\u534f\u5546\u7279\u6b8a\u62bd\u6210\u4e4b\u6743\u5229<\/li>\n<\/ul>\n<h2 id=\"3-\u7ed3\u7b97\">3. \u7ed3\u7b97<\/h2>\n<ul>\n<li>\u4f59\u989d\u7d2f\u79ef\u81ea\u5df2\u5b8c\u6210\u8ba2\u5355<\/li>\n<li>\u8fbe <strong>RM 100<\/strong> \u53ef\u7533\u8bf7\u63d0\u73b0<\/li>\n<li>Movo \u6bcf\u9031\u4e94\u6279\u6b21\u5904\u7406\u94f6\u884c\u8f6c\u5e10<\/li>\n<li>\u6682\u6263\u6761\u4ef6\uff1a\n<ul>\n<li>\u9000\u6b3e claw back \u9020\u6210\u8d1f\u4f59\u989d<\/li>\n<li>\u4e89\u8bae\u6216 chargeback \u5904\u7406\u4e2d<\/li>\n<li>\u6d89\u5acc\u8bc8\u6b3a\u6216\u8fdd\u53cd\u5408\u7ea6<\/li>\n<li>\u4e3b\u7ba1\u673a\u5173\u8981\u6c42\u6682\u6263<\/li>\n<\/ul>\n<\/li>\n<li>\u4f60\u987b\u81ea\u884c\u5411 LHDN \u62a5\u7a0e\u3002\u5e74\u5ea6\u7d2f\u8ba1 payout \u2265 RM 5,000 \u65f6\uff0cMovo \u53ef\u80fd\u53d1<br \/>\nForm CP58\u3002<\/li>\n<\/ul>\n<h2 id=\"4-\u5546\u54c1\u4e0a\u67b6\">4. \u5546\u54c1\u4e0a\u67b6<\/h2>\n<ul>\n<li>\u4ec5\u53ef\u4e0a\u67b6\u4f60\u6709\u5408\u6cd5\u9500\u552e\u6743\u4e4b\u5546\u54c1<\/li>\n<li>\u987b\u7b26\u5408\u9a6c\u6765\u897f\u4e9a\u6cd5\u5f8b + \u54c1\u7c7b\u4e13\u5c5e\u724c\u7167\u8981\u6c42<\/li>\n<li>\u63cf\u8ff0\u771f\u5b9e\u3001\u56fe\u7247\u771f\u5b9e\uff08\u65e0\u6c34\u5370\u3001\u65e0\u7ade\u54c1<br \/>\nLogo\uff09\u3001\u4ef7\u683c\u5b8c\u6574\uff08\u65e0\u9690\u85cf\u8d39\u7528\uff09<\/li>\n<li>Movo \u6709\u6743\u4e0b\u67b6\u8fdd\u53cd\u672c\u5408\u7ea6\u3001\u6cd5\u5f8b\u6216\u5e73\u53f0\u5185\u5bb9\u653f\u7b56\u4e4b\u5546\u54c1<\/li>\n<\/ul>\n<h3 id=\"\u7981\u6b62\u5546\u54c1\">\u7981\u6b62\u5546\u54c1<\/h3>\n<ul>\n<li>\u4eff\u5192 \/ \u590d\u523b \/ \u8272\u60c5\u5185\u5bb9<\/li>\n<li>\u4f60\u65e0\u724c\u7167\u4e4b\u54c1\u7c7b<\/li>\n<li>\u9488\u5bf9\u672a\u6210\u5e74\u8fdd\u53cd\u513f\u5c11\u4fdd\u62a4\u6cd5\u4e4b\u5546\u54c1<\/li>\n<li>\u6d3b\u4f53\u52a8\u7269\uff08\u4e0d\u542b\u4e00\u822c\u5ba0\u7269\u7528\u54c1\uff09<\/li>\n<li>\u9a6c\u6765\u897f\u4e9a\u7981\u6b62\u8fdb\u53e3\u6e05\u5355\u4e0a\u4e4b\u5546\u54c1<\/li>\n<\/ul>\n<h2 id=\"5-\u8ba2\u5355\u51fa\u8d27\">5. \u8ba2\u5355\u51fa\u8d27<\/h2>\n<ul>\n<li>\u4e0b\u5355 <strong>2 \u5de5\u4f5c\u65e5\u5185<\/strong> \u51fa\u8d27<\/li>\n<li>\u987b\u7528\u53ef\u8ffd\u8e2a\u7269\u6d41\u5e76\u5728 Vendor Dashboard \u66f4\u65b0\u5355\u53f7<\/li>\n<li>\u987b\u63a5\u53d7 Movo \u7edf\u4e00\u8fd0\u8d39\uff08\u4e0d\u53ef\u5411\u5ba2\u6237\u52a0\u6536\uff09<\/li>\n<li>\u8fd0\u9001\u4e2d\u635f\u574f\uff1a\u5546\u5bb6\u8d1f\u8d23\u81f3\u5ba2\u6237\u7b7e\u6536<\/li>\n<\/ul>\n<h2 id=\"6-\u9000\u8d27\u9000\u6b3e\">6. \u9000\u8d27\u9000\u6b3e<\/h2>\n<ul>\n<li>\u540c\u610f\u914d\u5408 Movo 14 \u5929\u9000\u8d27\u653f\u7b56<\/li>\n<li>\u5ba2\u6237\u9000\u8d27\u8bf7\u6c42 <strong>3 \u5de5\u4f5c\u65e5\u5185<\/strong> \u56de\u5e94<\/li>\n<li>\u8c08\u4e0d\u62e2\u7531 Movo admin \u4ef2\u88c1\uff0c\u51b3\u5b9a\u5177\u7ea6\u675f\u529b<\/li>\n<li>\u7455\u75b5 \u2192 \u5546\u5bb6\u51fa\u9000\u8d27\u8fd0\u8d39\uff1b\u5176\u4ed6\u539f\u56e0 \u2192 \u5ba2\u6237\u51fa<\/li>\n<li>\u9000\u6b3e\u6267\u884c \u2192 \u81ea\u52a8\u6263\u56de\u4f60\u7684 80% \u4efd\u989d\uff08\u5141\u8bb8\u8d1f\u4f59\u989d\u81f3\u6b21\u9500\u552e\u51b2\u9500\uff09<\/li>\n<\/ul>\n<h2 id=\"7-\u5ba2\u670d\">7. \u5ba2\u670d<\/h2>\n<ul>\n<li>\u5de5\u4f5c\u65e5 <strong>24 \u5c0f\u65f6\u5185<\/strong> \u56de\u5ba2\u6237\u8baf\u606f<\/li>\n<li>\u7ef4\u6301\u4e13\u4e1a\u793c\u8c8c<\/li>\n<li>Movo \u53ef\u5728\u5e97\u9762\u9875\u516c\u5f00\u4f60\u7684\u8bc4\u4ef7\u3001\u56de\u5e94\u65f6\u95f4\u3001\u9000\u8d27\u7387<\/li>\n<\/ul>\n<h2 id=\"8-\u667a\u6167\u8d22\u4ea7\">8. \u667a\u6167\u8d22\u4ea7<\/h2>\n<ul>\n<li>\u4f60\u4fdd\u7559\u54c1\u724c\u4e0e\u5546\u54c1\u5185\u5bb9\u6240\u6709\u6743<\/li>\n<li>\u4f60\u6388\u6743 Movo<br \/>\n\u5168\u7403\u975e\u4e13\u5c5e\u3001\u514d\u8d39\u3001\u53ef\u518d\u6388\u6743\u4e4b\u4f7f\u7528\u6743\uff08\u7528\u4e8e\u663e\u793a\u3001\u63a8\u5e7f\u3001\u884c\u9500\uff09<\/li>\n<li>\u4e0d\u5f97\u4fb5\u72af\u7b2c\u4e09\u65b9\u667a\u6167\u8d22\u4ea7\uff1bMovo \u5c06\u4f9d DMCA-like<br \/>\n\u7a0b\u5e8f\u5904\u7406\u4fb5\u6743\u4e0b\u67b6\u8bf7\u6c42<\/li>\n<\/ul>\n<h2 id=\"9-\u4fdd\u5bc6\">9. \u4fdd\u5bc6<\/h2>\n<p>\u4f60\u540c\u610f\u5bf9 Movo<br \/>\n\u975e\u516c\u5f00\u8d44\u8baf\uff08\u8425\u8fd0\u8d44\u6599\u3001\u5ba2\u6237\u8d44\u6599\u3001\u5e73\u53f0\u8ba1\u753b\uff09\u4fdd\u5bc6\uff1b\u4e0d\u53ef\u5c06\u5ba2\u6237\u8d44\u6599\u7528\u4e8e\u8ba2\u5355\u5c65\u884c\u4ee5\u5916\u4e4b\u7528\u9014\u3002<\/p>\n<h2 id=\"10-\u8d44\u6599\u4fdd\u62a4\">10. \u8d44\u6599\u4fdd\u62a4<\/h2>\n<ul>\n<li>\u5ba2\u6237\u4e2a\u8d44\u4ec5\u7528\u4e8e\u8ba2\u5355\u5c65\u884c<\/li>\n<li>\u9075\u5b88 PDPA
