🇬🇧 English

This Vendor Agreement (“Agreement”) is between Movo, operated by
[LEGAL ENTITY — TBD] (“Movo”, “we”, “us”), and the registered Malaysian
business identified in the merchant signup form (“Vendor”, “you”).

By submitting the merchant application form and clicking “I agree”,
you accept this Agreement.

1. Eligibility

You represent and warrant:

  • You are a Malaysian business with a valid SSM registration.
  • You have authority to enter this Agreement.
  • All information you provide is accurate, current, and complete.
  • You hold all necessary licences for the products you list (NPRA,
    MOH, KKM, DVS, Halal, etc. as applicable).

2. Commission

  • Movo charges a 20% commission on every successful
    sale (excluding shipping).
  • You receive 80% of the product price.
  • Commission is calculated on the gross sale before any cashback or
    discount.
  • For Phase 2 onwards, internal Movo commission allocations (12%
    Affiliate / 2% Customer cashback / 6% Platform net) do not affect your
    80% share.
  • Movo reserves the right to negotiate alternative commission rates
    with select Vendors via written addendum.

3. Payouts

  • Vendor balances accrue from completed orders.
  • Vendor may request withdrawal once balance reaches RM
    100
    .
  • Movo processes withdrawals weekly (every Friday) via bank
    transfer.
  • Movo may withhold payouts in the event of:
    • Negative balance from refund claw-back
    • Ongoing dispute or chargeback
    • Suspected fraud or violation of this Agreement
    • Regulatory hold from authorities
  • Vendor is responsible for declaring income to LHDN. For annual
    cumulative payouts ≥ RM 5,000, Movo may issue Form CP58.

4. Product listings

  • You may only list products you have the legal right to sell.
  • Products must comply with Malaysian law and any category-specific
    licensing requirements.
  • Listings must include accurate descriptions, true product photos (no
    watermarks, no competitor logos), and complete pricing (no hidden
    costs).
  • Movo may, at its sole discretion, remove listings that violate this
    Agreement, applicable law, or Movo’s content policies.

Prohibited products

  • Counterfeit, replica, or unauthorized brand products
  • Stolen goods
  • Drugs, weapons, ammunition, explosives
  • Adult / pornographic content
  • Items requiring licences you do not hold
  • Items targeting minors that violate child protection law
  • Live animals (excluding accepted pet supplies)
  • Any product on Malaysia’s prohibited imports list

5. Order fulfillment

  • You must ship orders within 2 business days of
    order placement.
  • You must use a tracked shipping method and update tracking in the
    Vendor Dashboard.
  • You must accept Movo’s unified shipping rate (as configured by Movo
    admin) — you may not impose additional shipping fees on customers.
  • Damage in transit: Vendor is responsible for goods until delivered
    to customer.

6. Returns and refunds

  • You agree to participate in Movo’s 14-day return policy.
  • You will respond to customer return requests within 3
    business days
    .
  • If you cannot agree with the customer, Movo admin arbitrates;
    decisions are binding.
  • For defective products, you bear return shipping. For other reasons,
    customer bears return shipping (per Refund Policy).
  • Upon refund execution, your 80% share is automatically deducted
    (with allowance for negative balance until next sales offset).

7. Customer service

  • Respond to customer messages within 24 hours during
    business days.
  • Maintain professional, courteous communication.
  • Movo may include your store rating, response time, and refund rate
    in store performance metrics, visible to customers.

8. Intellectual property

  • You retain ownership of your brand and product content.
  • You grant Movo a worldwide, non-exclusive, royalty-free,
    sublicensable licence to use your product names, descriptions, images,
    and brand marks for the purpose of displaying, promoting, and marketing
    your listings on the Platform.
  • You may not infringe third-party intellectual property. Movo will
    action DMCA-style takedown requests promptly.

9. Confidentiality

You agree to keep confidential any non-public information disclosed
by Movo (operational data, customer data, platform plans). You may not
share customer data outside the scope of fulfilling orders.

10. Data protection

  • You will handle customer personal data (names, addresses, phone
    numbers) solely for order fulfillment.
  • You will comply with Malaysia’s PDPA 2010.
  • You will not use customer data for marketing without explicit
    consent.
  • You will not transfer customer data to third parties except as
    required for shipping.

11. Compliance

You must comply with all applicable Malaysian laws, including:

  • Consumer Protection Act 1999
  • Sale of Goods Act 1957
  • Personal Data Protection Act 2010
  • Direct Sales and Anti-Pyramid Scheme Act 1993 (where relevant)
  • Category-specific regulations (NPRA, MOH, KKM, DVS, JAKIM,
    etc.)
  • Tax obligations (income tax, SST if applicable)

12. Term and termination

  • Term: This Agreement begins upon Movo’s approval of
    your application and continues until terminated.
  • Termination by Vendor: You may terminate at any
    time with 30 days’ written notice via email. You must fulfill
    outstanding orders.
  • Termination by Movo: Movo may terminate immediately
    for:

    • Violation of this Agreement
    • Fraudulent activity
    • Repeated customer complaints unresolved
    • Failure to maintain category licences
    • Bankruptcy or insolvency
  • Effect of termination: Final payouts processed
    within 30 days minus any outstanding refunds, chargebacks, or claims.
    Listings removed from Platform.

13. Indemnification

You indemnify Movo against any claim arising from:

  • Your products (defects, false advertising, IP infringement)
  • Your fulfillment failures
  • Your violation of law
  • Your violation of this Agreement

14. Disclaimers and
limitation of liability

  • Movo provides the Platform “as is” and does not guarantee sales
    volume or specific outcomes.
  • Movo is not liable for indirect, incidental, or consequential
    damages.
  • Movo’s maximum liability to you is capped at the commission paid by
    you to Movo in the prior 12 months.

15. Disputes

  • Parties agree to first attempt resolution through Movo’s internal
    dispute process.
  • Unresolved disputes proceed to mediation in Malaysia.
  • Final disputes governed by Malaysian law, jurisdiction Kuala Lumpur
    courts.

16. Changes

Movo may update this Agreement with 30 days’ written notice via
email. Continued use of the Platform after the effective date
constitutes acceptance.

17. Entire agreement

This Agreement, together with Movo’s Terms of Service, Privacy
Policy, and Refund Policy, constitutes the entire agreement between the
parties.

  • Phase 2 起 Movo 内部分配(12% Affiliate / 2% Customer cashback / 6%
    平台净利)不影响你 80% 份额
  • Movo 保留与个别商家以书面附约协商特殊抽成之权利

3. 结算

  • 余额累积自已完成订单
  • RM 100 可申请提现
  • Movo 每週五批次处理银行转帐
  • 暂扣条件:
    • 退款 claw back 造成负余额
    • 争议或 chargeback 处理中
    • 涉嫌诈欺或违反合约
    • 主管机关要求暂扣
  • 你须自行向 LHDN 报税。年度累计 payout ≥ RM 5,000 时,Movo 可能发
    Form CP58。

4. 商品上架

  • 仅可上架你有合法销售权之商品
  • 须符合马来西亚法律 + 品类专属牌照要求
  • 描述真实、图片真实(无水印、无竞品
    Logo)、价格完整(无隐藏费用)
  • Movo 有权下架违反本合约、法律或平台内容政策之商品

禁止商品

  • 仿冒 / 复刻 / 未授权品牌商品
  • 赃物
  • 毒品、武器、弹药、爆裂物
  • 成人 / 色情内容
  • 你无牌照之品类
  • 针对未成年违反儿少保护法之商品
  • 活体动物(不含一般宠物用品)
  • 马来西亚禁止进口清单上之商品

5. 订单出货

  • 下单 2 工作日内 出货
  • 须用可追踪物流并在 Vendor Dashboard 更新单号
  • 须接受 Movo 统一运费(不可向客户加收)
  • 运送中损坏:商家负责至客户签收

6. 退货退款

  • 同意配合 Movo 14 天退货政策
  • 客户退货请求 3 工作日内 回应
  • 谈不拢由 Movo admin 仲裁,决定具约束力
  • 瑕疵 → 商家出退货运费;其他原因 → 客户出
  • 退款执行 → 自动扣回你的 80% 份额(允许负余额至次销售冲销)

7. 客服

  • 工作日 24 小时内 回客户讯息
  • 维持专业礼貌
  • Movo 可在店面页公开你的评价、回应时间、退货率

8. 智慧财产

  • 你保留品牌与商品内容所有权
  • 你授权 Movo
    全球非专属、免费、可再授权之使用权(用于显示、推广、行销)
  • 不得侵犯第三方智慧财产;Movo 将依 DMCA-like
    程序处理侵权下架请求

9. 保密

你同意对 Movo
非公开资讯(营运资料、客户资料、平台计画)保密;不可将客户资料用于订单履行以外之用途。

10. 资料保护

  • 客户个资仅用于订单履行
  • 遵守 PDPA 2010
  • 未经明确同意不可用于行销
  • 不可转交第三方(运送必要除外)

11. 合规

须遵守马来西亚法律:

  • 1999 年消费者保护法
  • 1957 年商品销售法
  • 2010 年 PDPA
  • 1993 年直销与反金字塔诈骗法(适用时)
  • 品类专属法规(NPRA / MOH / KKM / DVS / JAKIM 等)
  • 税务(所得税、SST 如适用)

12. 期间与终止

  • 期间:Movo 核准你的申请起,至终止时止
  • 商家终止:30
    天书面通知(email)。须履行未完成订单
  • Movo 终止:以下情况立即终止:
    • 违反合约
    • 诈欺
    • 重复客诉未解
    • 失去品类牌照
    • 破产
  • 终止效果:最终结算 30 天内完成(扣除待退款 /
    chargeback / claim 后),商品下架

13. 赔偿

你赔偿 Movo 因以下产生之索赔:

  • 你的商品(瑕疵、虚假广告、IP 侵权)
  • 出货失败
  • 违法
  • 违约

14. 免责与责任上限

  • Movo 「按现状」提供平台,不保证销售或具体成果
  • Movo 不负担间接、附带、衍生损害
  • Movo 对你之责任上限 = 过去 12 个月你支付给 Movo 之抽成总额

15. 争议

  • 双方先经 Movo 内部争议程序
  • 未解则马来西亚调解
  • 终局争议依马来西亚法律,由吉隆坡法庭管辖

16. 变更

Movo 可经 email 提前 30 天通知变更。生效后继续使用即视为接受。

17. 完整合约

本合约连同 Movo 服务条款、隐私政策、退货政策为完整合约。
